SupraDigit Solutions Private Limited, on behalf of itself and its affiliates / group companies under the brand "ClinSav" (“ClinSav”), is the author and publisher of the internet resource www.clinsav.com and the mobile application ‘ClinSav’ (together, “Website”). The website is operated by SupraDigit Solutions Private Limited, having its registered office at B-103 Giriraj Heights, Laljipada New Link Road, Kandivali West, Mumbai – 400067.

For the purpose of this document, “SupraDigit Solutions Private Limited” can be referred to as “SupraDigit Solutions” or “Company”.

  1. TERMS OF USE
    a) Please carefully go through these terms and conditions (“Terms”) and the privacy policy available at https://www.clinsav.com/privacy (“Privacy Policy”) before you decide to access the Site or avail the services made available on the Site by SupraDigit Solutions. These Terms and the Privacy Policy together constitute a legal agreement (“Agreement”) between you and SupraDigit Solutions in connection with your visit to the Site and your use of the Services (as defined below).

    b) These Terms and Conditions of Use (the “Terms of Use”) apply to the SupraDigit Solutions product website located at https://www.clinsav.com, and all associated sites linked to https://www.clinsav.com by SupraDigit Solutions (collectively, the “Site”).

    c) The Agreement applies to you whether you are -

    (i) A medical practitioner or health care provider (whether an individual professional or an organization) or similar institution wishing to be listed, or already listed, on the Site, including designated, authorized associates of such practitioners or institutions (“Practitioner(s)”, “you” or “User”); or

    (ii) A patient, his/her representatives, or affiliates, searching for Practitioners through the Site (“End-User”, “you” or “User”); or

    (iii) Otherwise, a user of the Site (“you” or “User”).


    d) The Site is the property of SupraDigit Solutions and its licensors. BY USING THE SITE, YOU AGREE TO THESE TERMS OF USE; IF YOU DO NOT AGREE, DO NOT USE THE SITE. SupraDigit Solutions reserves the right, at its sole discretion, to change, modify, add, or remove portions of these Terms of Use, at any time. It is your responsibility to check these Terms of Use periodically for changes. Your continued use of the Site following the posting of changes will mean that you accept and agree to the changes.

    e) As long as you comply with these Terms of Use, SupraDigit Solutions grants you a personal, nonexclusive, nontransferable, limited privilege to enter and use the Site.

SupraDigit Solutions Private Limited reserves the right to bar any such activity.

YOU ASSUME TOTAL RESPONSIBILITY FOR YOUR USE OF THE SITE AND ANY LINKED SITES. YOUR SOLE REMEDY AGAINST SUPRADIGIT SOLUTIONS PRIVATE LIMITED FOR DISSATISFACTION WITH THE SITE OR ANY CONTENT IS TO STOP USING THE SITE OR ANY SUCH CONTENT. THIS LIMITATION OF RELIEF IS A PART OF THE BARGAIN BETWEEN THE PARTIES.

  9. LIMITATION OF LIABILITY
    a) Except where prohibited by law, in no event will SupraDigit Solutions Private Limited be liable to you for any indirect, consequential, exemplary, incidental, or punitive damages, including lost profits, even if SupraDigit Solutions Private Limited has been advised of the possibility of such damages.

    b) If, notwithstanding the other provisions of these Terms of Use, the company is found to be liable to you for any damage or loss which arises out of or is in any way connected with your use of the Site or any Content, SupraDigit Solutions Private Limited liability shall in no event exceed the greater of

    (i) the total of any subscription or similar fees with respect to any service or feature of or on the Site paid in the six months prior to the date of the initial claim made against, or

    (ii) 1,000 Indian Rupees. Some jurisdictions do not allow limitations of liability, so the foregoing limitation may not apply to you.


  10. INDEMNITY
    You agree to indemnify and hold SupraDigit Solutions Private Limited, its officers, directors, shareholders, predecessors, successors in interest, employees, agents, subsidiaries, and affiliates, harmless from any demands, loss, liability, claims or expenses (including attorneys’ fees), made against SupraDigit Solutions Private Limited by any third party due to or arising out of or in connection with your use of the Site.

  11. VIOLOATION OF THESE TERMS OF USE
    a) SupraDigit Solutions Private Limited may disclose any information we have about you (including your identity) if we determine that such disclosure is necessary in connection with any investigation or complaint regarding your use of the Site, or to identify, contact or bring legal action against someone who may be causing injury to or interference with (either intentionally or unintentionally) SupraDigit Solutions Private Limited rights or property, or the rights or property of visitors to or users of the Site, including SupraDigit Solutions Private Limited customers.

    b) SupraDigit Solutions Private Limited reserves the right at all times to disclose any information that SupraDigit Solutions Private Limited deems necessary to comply with any applicable law, regulation, legal process or governmental request.

    c) SupraDigit Solutions Private Limited also may disclose your information when SupraDigit Solutions Private Limited determines that applicable law requires or permits such disclosure, including exchanging information with other companies and organizations for fraud protection purposes.

    d) You acknowledge and agree that SupraDigit Solutions Private Limited may preserve any transmittal or communication by you with SupraDigit Solutions Private Limited through the Site or any service offered on or through the Site, and may also disclose such data if required to do so by law or SupraDigit Solutions Private Limited determines that such preservation or disclosure is reasonably necessary to

    (iii) respond to claims that any such data violates the rights of others, or

    (iv) protect the rights, property or personal safety of SupraDigit Solutions Private Limited, its employees, users of or visitors to the Site, and the public.


    e) You agree that SupraDigit Solutions Private Limited may, in its sole discretion and without prior notice, terminate your access to the Site and/or block your future access to the Site if we determine that you have violated these Terms of Use or other agreements or guidelines which may be associated with your use of the Site.

    f) You also agree that any violation by you of these Terms of Use will constitute an unlawful and unfair business practice and will cause irreparable harm to SupraDigit Solutions Private Limited, for which monetary damages would be inadequate, and you consent to SupraDigit Solutions Private Limited obtaining any injunctive or equitable relief that SupraDigit Solutions Private Limited deems necessary or appropriate in such circumstances. These remedies are in addition to any other remedies SupraDigit Solutions Private Limited may have at law or in equity.

    g) You agree that SupraDigit Solutions Private Limited may, in its sole discretion and without prior notice, terminate your access to the Site, for cause, which includes (but is not limited to)

    (i) requests by law enforcement or other government agencies,

    (ii) a request by you (self-initiated account deletions),

    (iii) discontinuance or material modification of the Site or any service offered on or through the Site, or

    (iv) unexpected technical issues or problems.

    If SupraDigit Solutions Private Limited does take any legal action against you because of your violation of these Terms of Use, SupraDigit Solutions Private Limited will be entitled to recover from you, and you agree to pay, all reasonable attorneys’ fees and costs of such action, in addition to any other relief granted to SupraDigit Solutions Private Limited.

    h) You agree that SupraDigit Solutions Private Limited will not be liable to you or to any third party for termination of your access to the Site because of any violation of these Terms of Use.

  12. GOVERNING LAW; DISPUTE RESOLUTION
    a) You agree that all matters relating to your access to or use of the Site, including all disputes, will be governed by the laws of Republic of India and by the laws of the State of Maharashtra without regard to its conflicts of laws provisions.

    b) You agree to the personal jurisdiction by and venue in the state and federal courts in Mumbai, India, and waive any objection to such jurisdiction or venue. Any claim under these Terms of Use must be brought within one (1) year after the cause of action arises, or such claim or cause of action is barred.

    c) Claims made under the separate terms and conditions of purchase for goods and services are not subject to this limitation. No recovery may be sought or received for damages other than out-of-pocket expenses, except that the prevailing party will be entitled to costs and attorneys’ fees.

    d) In the event of any controversy or dispute between SupraDigit Solutions Private Limited and you arising out of or in connection with your use of the Site, the parties shall attempt, promptly and in good faith, to resolve any such dispute.

    e) If we are unable to resolve any such dispute within a reasonable time (not to exceed thirty (30) days), then either party may submit such controversy or dispute to mediation.

    f) If the dispute cannot be resolved through mediation, then the parties shall be free to pursue any right or remedy available to them under applicable law.

  13. REFUNDS & CANCELLATION POLICY
    a) We make every effort to ensure that Our customers get the best service and support for our product plans. If due to unforeseen circumstances or limitations from Our side, if the product plan cannot be subscribed after making the due payments or failed transactions, the amount paid by You shall be refunded.

    b) Any subscription cancellations initiated by the customer shall be duly processed in a period of 5 working days.

    c) For any product plan subscription cancellation request, the refund amount shall be calculated from the date of initiation till the remaining license period of the product plan.

    d) Product plan refunds & cancellations are not applicable if the active license has only 2 months remaining for expiration. In such a case, Your subscription shall last till the end of Your subscription period.

    e) Product plan refunds & cancellations are not applicable for any product plan with a total duration of less than 2 months.

  14. VOID WHERE PROHIBITED
    SupraDigit Solutions Private Limited administers and operates the www.clinsav.com (https://www.clinsav.com/) Site from its location in Mumbai, India. SupraDigit Solutions Private Limited reserves the right to limit, in its sole discretion, the provision and quantity of any feature, product or service to any person or geographic area. Any offer for any feature, product or service made on the Site is void where prohibited. If you choose to access the Site from outside India, you do so on your own initiative and you are solely responsible for complying with applicable local laws.

  15. MISCELLANEOUS
    a) You may not use or export or re-export any Content or any copy or adaptation of such Content, or any product or service offered on the Site, in violation of any applicable laws or regulations, including without limitation Indian export laws and regulations.

    b) If any of the provisions of these Terms of Use are held by a court or other tribunal of competent jurisdiction to be void or unenforceable, such provisions shall be limited or eliminated to the minimum extent necessary and replaced with a valid provision that best embodies the intent of these Terms of Use, so that these Terms of Use shall remain in full force and effect.

    c) These Terms of Use constitute the entire agreement between you and SupraDigit Solutions Private Limited with regard to your use of the Site, and any and all other written or oral agreements or understandings previously existing between you and SupraDigit Solutions Private Limited with respect to such use are hereby superseded and cancelled. Other than as provided in a purchase agreement you enter into with SupraDigit Solutions Private Limited, SupraDigit Solutions Private Limited will not accept any counteroffers to these Terms of Use, and all such offers are hereby categorically rejected.

    d) SupraDigit Solutions Private Limited failure to insist on or enforce strict performance of these Terms of Use shall not be construed as a waiver by SupraDigit Solutions Private Limited of any provision or any right it has to enforce these Terms of Use, nor shall any course of conduct between SupraDigit Solutions Private Limited and you or any other party be deemed to modify any provision of these Terms of Use. These Terms of Use shall not be interpreted or construed to confer any rights or remedies on any third parties.

  16. FEEDBACK AND INFORMATION
    Any feedback you provide at this site shall be deemed to be nonconfidential. SupraDigit Solutions Private Limited shall be free to use such information on an unrestricted basis. The information contained in this web site is subject to change without notice.
